What is a confirmation statement?

A confirmation statement is a filing that every company must submit to Companies House at least once every 12 months. It allows companies to report changes and confirm a number of different aspects about the company, including the SIC codes, share capital, shareholders, and the trading status of the company’s shares.

Additionally, it also confirms that all other information the company has reported at Companies House (for example, director and People with Significant Control details) is up to date and correct.

How often do I need to file a confirmation statement?

Every company needs to file a confirmation statement at least once a year. A company can file as many confirmation statements as it wants during this period, but to fulfil its obligations a minimum of one needs to be delivered to Companies House every 12 months.

Failure to do so may lead to the company being struck off and the director(s) liable to prosecution.

When is my confirmation statement due?

Your confirmation statement is due no later than two weeks after the ‘made up to date’. The ‘made up to date’ is the anniversary of the last confirmation statement’s made up to date. If no confirmation statement has previously been filed, then the made up to date is twelve months after incorporation.

If you do not know when your confirmation statement is due, you can view it on Companies House by searching your company’s name on Companies House service.

How long will it take to file my confirmation statement?

Our Confirmation Statement Team will submit your filing within three working days of purchase. We also offer an Express Service for £54.99 +VAT, where your confirmation statement will be submitted within just one working day.

What changes can be updated using a confirmation statement?

  • Standard Industrial Classification (SIC) codes
  • Share capital (make up of shares, paid-up status, etc.)
  • Shareholders (names of shareholders together with the number of shares they hold)
  • Details of any share transfers that have taken place
  • Trading status of shares

What changes cannot be updated using a confirmation statement?

Any information not explicitly included on the confirmation statement (see above) must be filed separately with Companies House. This includes details about the director(s), People with Significant Control, registered office, and more.

Please note: any changes that need to be reported should be filed at Companies House before the confirmation statement is submitted.

What details do I need to provide for Rapid Formations to file my confirmation statement?

To get your filing started, we will need your company name, number, and authentication code. We will then send you an online questionnaire which will ask you for the following:

  • Has there been a change in your paid-up share capital?
  • Has there been any changes to the shareholders, e.g. a new member has joined the company?
  • Has there been any other changes to the company? These may need to be filed separately.

Can I purchase this service if I did not use Rapid Formations to register my company?

Yes, any company (or limited liability partnership) registered in the UK can purchase our Confirmation Statement Service. You do not need to have formed your company with us to make use of this service.

Companies House have sent me a confirmation statement reminder - what should I do?

You should arrange for your company to submit a confirmation statement as soon as possible. Failure to do so may lead to you losing the company and the director(s) facing prosecution.

If you have received a reminder, and you believe this was sent by mistake, you should check your company using Companies House service to ensure that your confirmation statement has been filed, as there may have been a problem with your filing.

What is the confirmation statement review period?

A confirmation statement review period refers to the period of time which the confirmation statement covers. It confirms the information already submitted to Companies House during this time is correct and also confirms some additional information, e.g. changes to shareholders during this time.

The review period takes place from the date of incorporation or the day after the last confirmation statement was submitted, up to the ‘made up to’ date of your next confirmation statement (usually twelve months later).

Do some changes need to be reported to Companies House straight away?

In most cases, it is not necessary to report the changes that are detailed on the confirmation statement right away. However, it is considered best practice to submit a confirmation statement right after a change (for example, following a recent transfer of shares).

Reporting changes promptly ensures that the public record reflects the most up to date information about the company. This may be important when dealing with third parties and other stakeholders – for example, your banks or suppliers may want to see the correct information reflected on Companies House.
