A confirmation statement is a filing that every company must submit to Companies House at least once every 12 months. It allows companies to report changes and confirm a number of different aspects about the company, including the SIC codes, share capital, shareholders, and the trading status of the company’s shares.
Additionally, it also confirms that all other information the company has reported at Companies House (for example, director and People with Significant Control details) is up to date and correct.
Every company needs to file a confirmation statement at least once a year. A company can file as many confirmation statements as it wants during this period, but to fulfil its obligations a minimum of one needs to be delivered to Companies House every 12 months.
Failure to do so may lead to the company being struck off and the director(s) liable to prosecution.

Your confirmation statement is due no later than two weeks after the ‘made up to date’. The ‘made up to date’ is the anniversary of the last confirmation statement’s made up to date. If no confirmation statement has previously been filed, then the made up to date is twelve months after incorporation.

A confirmation statement review period refers to the period of time which the confirmation statement covers. It confirms the information already submitted to Companies House during this time is correct and also confirms some additional information, e.g. changes to shareholders during this time.
The review period takes place from the date of incorporation or the day after the last confirmation statement was submitted, up to the ‘made up to’ date of your next confirmation statement (usually twelve months later).
In most cases, it is not necessary to report the changes that are detailed on the confirmation statement right away. However, it is considered best practice to submit a confirmation statement right after a change (for example, following a recent transfer of shares).
Reporting changes promptly ensures that the public record reflects the most up to date information about the company. This may be important when dealing with third parties and other stakeholders – for example, your banks or suppliers may want to see the correct information reflected on Companies House.
